Membership Agreement

1. PARTIES

This Membership Agreement ("Agreement") is entered into electronically between Pemt Teknoloji Yazılım Limited Şirketi, the operator of the Chucca Loyalty Platform ("Chucca"), and the user who registers for and uses the Chucca Platform ("Member").

By accepting this Agreement electronically, the Member acknowledges that they have read, understood, and agreed to all provisions contained herein.

DEFINITIONS

Chucca Platform

A digital loyalty infrastructure that enables participating merchants to manage loyalty programs, allowing members to earn, redeem, and utilize loyalty points and other benefits.

Member

An individual who participates in loyalty programs through the Chucca Platform.

Merchant

Any natural or legal person using the Chucca Platform to provide loyalty programs, rewards, promotions, campaigns, and related benefits to customers.

Merchant Group

A structure consisting of multiple merchants operating under the same loyalty program framework and allowing shared point usage according to predefined rules.

Points

Digital loyalty units awarded to Members under the rules established by participating Merchants and redeemable according to applicable Merchant or Merchant Group policies.

Benefits

Rewards, promotions, discounts, campaigns, point redemption opportunities, and similar advantages offered by participating Merchants.

GENERAL TERMS

2. Membership Eligibility

2.1. The Member represents and warrants that they are legally capable of entering into this Agreement under applicable laws.

2.2. The Member agrees that all information provided during participation in the Platform is accurate, complete, and up to date.

2.3. Membership accounts are personal and may not be transferred, assigned, sold, or made available to third parties.

2.4. Chucca may request updates to Member information where reasonably necessary.

3. Use of the Platform

3.1. The Member agrees to use the Chucca Platform solely for lawful purposes.

3.2. The Member shall not:

  • create fraudulent accounts;
  • attempt to exploit vulnerabilities in the Platform;
  • manipulate or abuse the loyalty system;
  • violate the rights of other users; or
  • engage in activities that may compromise the security or integrity of the Platform.

3.3. Chucca reserves the right to suspend or terminate membership where activities are identified that threaten platform security, integrity, or compliance with this Agreement.

4. WhatsApp and Communication Channels

4.1. Chucca services may be delivered wholly or partially through WhatsApp or other third-party communication platforms.

4.2. The Member acknowledges that such third-party services are governed by their own terms of service and privacy policies.

4.3. Chucca may provide its services through mobile applications, web applications, or other digital channels in the future.

POINTS, REWARDS AND BENEFITS

5. Earning and Redeeming Points

5.1. Rules relating to point accumulation and redemption are determined by participating Merchants.

5.2. Loyalty rules may vary between Merchants.

5.3. Points may only be redeemed according to the rules established by the relevant Merchant or Merchant Group.

5.4. Where enabled, point redemption across Merchants within the same Merchant Group shall be subject to the rules established by that Merchant Group.

5.5. Merchants may modify campaigns, point earning rates, redemption conditions, and related benefit structures.

5.6. Points have no monetary value and cannot be exchanged for cash.

5.7. Unless expressly permitted by the applicable Merchant, Points may not be transferred to another Member.

5.8. Merchants may establish expiration periods for Points and remove expired Points from the system, provided such conditions are communicated in advance.

6. Campaigns and Benefits

6.1. Chucca provides the technological infrastructure enabling loyalty programs.

6.2. Campaigns, promotions, discounts, rewards, point earning rules, and redemption conditions are determined solely by participating Merchants.

6.3. Merchants retain the right to modify, suspend, or terminate any campaign, reward, or benefit at their discretion.

PERSONAL DATA PROTECTION

7. Processing of Personal Data

7.1. Personal data relating to Members shall be processed in accordance with applicable data protection laws and regulations.

7.2. Detailed information regarding the processing of personal data is provided within the Chucca Privacy Notice and KVKK Disclosure Statement.

7.3. By using the Platform, the Member acknowledges having reviewed the applicable privacy documentation.

8. Visibility of Member Information

8.1. Chucca processes Member information solely for the operation of loyalty programs and related services.

8.2. Participating Merchants and Merchant Group administrators do not have direct access to Members' personal data.

8.3. Participating Merchants and Merchant Group administrators may only access aggregated, anonymized, or statistical information necessary for operating loyalty programs.

8.4. Where shared point redemption is enabled within a Merchant Group, limited information required to complete loyalty transactions may be processed by the system.

ACCOUNT SECURITY

9. Account Security

9.1. Members are responsible for maintaining access to and control of the telephone number associated with their Chucca account.

9.2. Members shall promptly notify Chucca if they believe their account has been accessed or used without authorization.

INTELLECTUAL PROPERTY

10. Intellectual Property Rights

10.1. All intellectual property rights relating to the Chucca Platform, including software, trademarks, logos, designs, content, and related materials, belong exclusively to Pemt Teknoloji Yazılım Limited Şirketi.

10.2. No content may be copied, reproduced, distributed, modified, or commercially exploited without prior written consent from Chucca.

LIMITATION OF LIABILITY

11. Limitation of Liability

11.1. Chucca provides the technological infrastructure that enables loyalty programs.

11.2. Participating Merchants are solely responsible for the accuracy, implementation, availability, and legality of campaigns, rewards, points, discounts, and redemption conditions.

11.3. Chucca shall not be a party to disputes arising between Members and Merchants regarding loyalty benefits or merchant-specific campaigns.

11.4. Chucca shall not be liable for interruptions, delays, or failures resulting from WhatsApp or other third-party service providers.

11.5. Temporary interruptions may occur due to maintenance, updates, force majeure events, or circumstances beyond Chucca's reasonable control.

TERMINATION OF MEMBERSHIP

12. Termination

12.1. Members may request termination of their membership at any time.

12.2. Chucca may suspend or terminate membership in cases involving:

  • unlawful activity;
  • fraud;
  • abuse of the loyalty system;
  • conduct threatening system security; or
  • violation of this Agreement.

MISCELLANEOUS

13. Amendments

13.1. Chucca reserves the right to amend this Agreement in response to legal, operational, technical, or business requirements.

13.2. Updated versions shall become effective upon publication through Chucca's designated channels.

14. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Türkiye.

Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Courts and Enforcement Offices of Istanbul, Türkiye.

15. Acceptance and Entry into Force

By selecting the option indicating acceptance of this Membership Agreement, the Member acknowledges and agrees to all terms and conditions contained herein.
